Schneider Electric to Buy PTC for $22.6 Billion in Major Industrial Software Deal

October 2026: France's Schneider Electric has agreed to acquire PTC, the Boston-based industrial software company, for about $22.6 billion in equity value. Schneider will pay $205 per share in cash, a 42.3% premium to PTC's previous closing price. Including debt, the deal values PTC at about $23.7 billion.
Who is PTC?
PTC makes software used by manufacturers to design and manage products, including:
- CAD (computer-aided design), such as Creo
- PLM (product lifecycle management), such as Windchill
- Digital twin and industrial IoT tools that create virtual models of physical products and factories
Why Schneider wants it
Schneider Electric is a global leader in energy management and industrial automation. Buying PTC would:
- Add design and lifecycle software to Schneider's automation and energy portfolio
- Strengthen its offer for smart factories and data centres, a fast-growing market as AI expands
- Shift more of its revenue toward recurring software subscriptions
Schneider already owns a majority stake in software company AVEVA, and PTC would further expand its industrial software business.
The bigger trend
Industrial companies are buying software makers to offer end-to-end "design to operation" platforms. Competitors such as Siemens have made large software acquisitions in recent years. AI is accelerating the trend, since digital twins and design tools increasingly use AI to simulate and optimise products.
What happens next
The deal requires shareholder and regulatory approvals in multiple countries. Large cross-border technology acquisitions can face antitrust and national-security reviews, which may take several months.
Why it matters for India
Both Schneider and PTC have large engineering and development operations in India. India's growing manufacturing sector, supported by production-linked incentive schemes, is a major market for industrial automation and design software.
