IDBI Bank Sale: Fairfax Wins ₹52,878 Crore Stake Deal

India Approves Fairfax’s ₹52,878 Crore IDBI Bank Acquisition
NEW DELHI — The Indian government has approved a ₹52,878 crore strategic stake sale in IDBI Bank to a subsidiary of Canada-based Fairfax Financial Holdings, marking a significant development in the country’s banking sector and its efforts to restructure public-sector-linked financial institutions.
The Cabinet Committee on Economic Affairs approved Fairfax-backed entity 10955230 Canada Inc. as the strategic buyer on October 14. Under the proposed transaction, the investor will acquire a combined 60.72% stake in IDBI Bank from the Government of India and the Life Insurance Corporation of India (LIC).
The transaction is valued at approximately $5.56 billion and is expected to become India’s largest foreign direct investment in the financial sector once completed. The acquisition will transfer management control of the lender to the Fairfax-backed buyer, subject to the required regulatory approvals and completion procedures.
How the IDBI Bank Stake Sale Is Structured
Under the approved agreement, the government will sell its 30.48% shareholding, while LIC will divest 30.24% of its stake. Following the transaction, the government is expected to retain 15% ownership and LIC 19%, giving the two institutions a combined 34% stake in the bank.
Fairfax’s successful bid is priced at ₹81 per share, above the benchmark valuation of ₹75.99 per share established through independent valuation exercises. The government said the offer exceeded the fair-value estimates used to assess the bids.
The transaction follows a lengthy sale process that began in 2022. Earlier bids did not meet the government’s reserve-price expectations, delaying progress. Revised offers were subsequently sought before the Cabinet approved the Fairfax-backed proposal.
The deal is not yet equivalent to a completed transfer of ownership. The successful bidder must satisfy the Reserve Bank of India’s regulatory requirements, including the relevant assessment of its suitability to control a bank, before the transaction can be finalised.
Why IDBI Bank Is Important to India’s Banking Sector
IDBI Bank has undergone a substantial financial recovery after facing serious asset-quality problems in the previous decade. In 2017, the Reserve Bank of India placed the lender under its Prompt Corrective Action framework because of losses and high non-performing assets.
The bank’s financial position subsequently improved. Its gross non-performing asset ratio fell from nearly 32% in 2018 to around 2.3% by early 2026, according to reported figures. The turnaround followed capital support, efforts to address bad loans and improvements in the bank’s financial performance.
As of June 2026, IDBI Bank had assets worth approximately ₹4.44 lakh crore and operated more than 2,000 branches. Its scale makes the proposed ownership change important for customers, employees, investors and the wider Indian financial system.
The new ownership structure could influence the bank’s long-term business strategy, capital planning and competitive position. However, the precise operational changes following the acquisition will depend on the final transaction and the buyer’s plans.
Fairfax Deal Signals Continued Foreign Interest in Indian Finance
The IDBI Bank transaction reflects continued international investor interest in India’s financial services industry. Foreign financial institutions have increasingly explored opportunities in the country’s banking and investment sectors, attracted by its large customer base and long-term demand for financial services.
For the Indian government, the sale advances a long-running effort to restructure its ownership in IDBI Bank while retaining a minority stake. For Fairfax, the proposed acquisition offers an opportunity to gain control of an established lender with a nationwide branch network.
The outcome will depend on regulatory clearance, transaction completion and the strategy adopted by the new controlling shareholder. Until those steps are completed, IDBI Bank’s existing operations continue under the current framework.
The approved ₹52,878 crore deal nevertheless represents a major milestone in India’s banking-sector restructuring and one of the country’s most significant proposed foreign investments in financial services.
